PRIVACY POLICY

All visitors who visit the Chola app or site www.cholamandalam.com or customers, prospective customers (collectively Customers) providing information to Cholamandalam Investment and Finance Limited (CIFCL) are covered under this Policy.

In the course of using this website or availing the products and services vide the online or otherwise, the application forms or questionnaires etc., CIFCL and its Associates may become privy to the personal information including information that is of a confidential nature like bank account, broking account, demat account, investment and networth details of its Customers and may use the same for various purposes including analyzing the credit worthiness of the client and providing value added service to clients. CIFCL undertakes to obtain consent of its customers, wherever not available, before disclosure or transfer of information to third parties.

CIFCL will limit the collection and use of customer information only on a need-to-know basis to deliver better service to the Customers. CIFCL may use and share the information provided by the Customers with its Affiliates and third parties for providing services and any service-related activities such as collections, customer service and to notify or contact the Customers regarding any problems with, or the expiration of, such services. In this regard, it may be necessary to disclose the customer information to one or more agents and contractors of CIFCL and their sub-contractors, but such agents, contractors, and sub-contractors will be required to agree to use the information obtained from CIFCL only for these purposes.

CIFCL undertakes not to disclose the information provided by the Customers to any person, unless such action is necessary to:

- Conform to legal requirements or comply with legal process;
- Protect and defend CIFCL or its Affiliates' rights, interests or property;
- Enforce the terms and conditions of the products or services; or
- Confirm the transaction details

CIFCL is strongly committed to protect the privacy of its Customers and has taken all necessary and reasonable measures to protect the confidentiality of the customer information and its transmission through the world wide web or otherwise and it shall not be held liable for disclosure of the confidential information when in accordance with this Privacy Commitment or in terms of the agreements, if any, with the Customers.

The Customers shall not disclose to any other person, in any manner whatsoever, any information relating to CIFCL or its Associates of a confidential nature obtained in the course of availing the services through the website. Failure to comply with this obligation shall be deemed a serious breach of the terms herein and shall entitle CIFCL or its Associates to terminate the services, without prejudice to any damages, to which the customer may be entitled otherwise.

The Customer authorises CIFCL to exchange, share, part with all information related to the details and transaction history of the Customers to its Associates / banks / financial institutions / credit bureaus / agencies/participation in any telecommunication or electronic clearing network as may be required by law, customary practice, credit reporting, statistical analysis and credit scoring, verification or risk management and shall not hold CIFCL liable for use or disclosure of this information.

A.1 ACCEPTANCE OF USER AGREEMENT

The customer portal is an online facility provided exclusively to the customers of Chola to view their loan account and other important information on the loan facility extended by Chola. Use of customer portal (hereinafter referred to as "the Portal") is governed by the following terms and conditions. By using the Portal in any way, the User agrees to be bound by the same by virtue of this agreement (the “User Agreement”) with Cholamandalam Investment & Finance Co. Ltd., a company incorporated under Companies Act, 1956 having its Registered Office at Dare House, No.2, NSC Bose Road, Parrys, Chennai, Tamilnadu, 600001 (India) and its affiliates (hereinafter individually and collectively referred to as “Chola”). “Registered User,” and wherever the context so requires, “User” shall mean any natural or legal person who has agreed to become a member of the Portal by providing Profile Details (as defined infra) while creating an account on the Portal.

If the User is dissatisfied with any portion of the Portal or any provision of the User Agreement, User's sole and exclusive remedy is to discontinue using the Portal. In the event of any discrepancies on the loan account of the User, the User shall take up the matter separately with Chola for necessary rectification.

A.2 AMENDMENTS TO USER AGREEMENT

(a) Chola may amend any provisions of the User Agreement at any time by posting a revised version on the Portal, which will become effective from time of such post. The User is advised to regularly check for any amendments or updates.
(b) Communication by an email or by notice on the Portal will be deemed to satisfy any legal requirement that such communication be in writing/ constitute adequate service of notice.
(c) If the revised version of this User Agreement includes a Substantial Change, Chola will provide the User with 30 days' prior notice of the same. "Substantial Change" means a change to the terms of the User Agreement that reduces User's rights or increases User's responsibilities.

A.3 ELIGIBILITY

This portal is designed only for the exclusive use of the customers of Chola and who is a registered User under this portal. If you are a business entity, you have the authority bind the entity under this User Agreement.

A.4 USER REGISTRATION

(a) User agrees to provide, maintain and promptly update true, accurate, current and complete information such as name, date of birth, contact number, address, one time password (OTP) and other information as prompted by Chola's registration form ("Profile Details"). A unique User ID and password for User's account will be created and the same be used for all further transactions.

(b) A Registered User may use the Portal as a customer of Chola, can access the Portal immediately after basic registration. Upon completion of registration, the Customer shall receive a mail and SMS confirming the registration.

(c) Existing customers shall provide his mobile number which is already registered with Chola at the time of availing the loan and the same will be important for completing validation process. (d) The Registered User is solely responsible for maintaining the confidentiality of User ID and Password and Chola will not be responsible for any misuse of the same under whatsoever circumstances.

A.5 PLATFORM FOR COMMUNICATION

User understands and agrees that the Portal merely provides hosting services to its Registered Users. Consequently, a) The User acknowledges that Chola does not pre-screen or approve any messages, text, files, images, photos, video, sounds, or other materials displayed on or through the Portal (“Content”), but that Chola shall have the right (but not the obligation) in its sole discretion to refuse, delete or remove any Content, for violating the letter or spirit of the User Agreement or for any other reason.

A.6 RELATION

User agrees that no joint venture, partnership, employment, or agency relationship exists between User and the Portal as a result of the User Agreement.

B.1 USE OF THE WEB SITE

User agrees, undertakes and confirms that use of the Portal shall be strictly governed by the following binding principles
B.1.1. "User Information" is defined as any information User provides to Chola or other users of the Portal ("Users") such as Profile Details via feedback or through any e-mail feature.
B.1.2. The following paragraphs are inserted in accordance with the Information Technology (Intermediaries guidelines) Rules 2011.
User shall not host, display, upload, modify, publish, transmit, update or share any information or share/list(s) any information or item that
(a) belongs to another person and to which User does not have any right to;
(b) is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to "indecent representation of women" within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;
(c) harms minors in any way;
(d) infringes any patent, trademark, copyright or other proprietary rights or third party’s trade secrets or rights of publicity or privacy;
(e) violates any law for the time being in force;
(f) deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
(g) impersonate another person;
(h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or damage or diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
(i) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.
(j) is false, inaccurate or misleading;
(k) creates liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and B.1.5 User shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and Rules including Guidelines, Notifications etc there under as applicable and as amended from time to time.

B.2 FEEDBACK POLICY

(a) Feedback is a valuable indicator of the User on the Portal and the User may text his feedback on various parameters.

B.3 REPORT ABUSE

(a) User can file a Report Abuse if he found any unrelated or unsolicited matters in the portal.

B.4 FEES & CHARGES

(a) Registration on the Portal is free. No fees or charges are neither payable to Chola nor to any third parties in this regard. Therefore, the user of this portal are requested to not to pay or choose to make any payment for usage of this portal. In the event Chola introduces option of EMI payments through this portal, the same will be made live only after due notice though this portal and upon completion of necessary security checks through the email and mobile number registered with Chola.

C. PRIVACY POLICY

User privacy is very important to Chola. By accepting the User Agreement, User expressly consents to Chola's use and disclosure of User's Information in accordance with this Privacy Policy.

C.1 Chola privacy guarantee

Chola promises not to sell or rent User personal information to third parties for their marketing purposes without User's explicit consent. From time to time we may reveal general statistical information about our Web site and visitors, such as number of visitors, number and type of goods and services purchased, etc. User trust and confidence are our highest priority.

C.2. Information collected

Chola collects and stores only that User Information that is necessary to provide a safe, efficient, smooth and customized experience.

(a) The communication standards of the Internet industry transmit the URL of the site from which User visits the Portal, the IP address of User's computer and ISP, various attributes of User's computer such as operating system, resolution and browser software, and the date and time of User's various requests for pages on the Portal. The Portal's file logging system automatically logs this information in its log files for its analysis.
(b) Chola uses data collection devices such as "cookies" on certain pages of the Site to help analyze our web page flow, measure promotional effectiveness and provide information that is targeted to User interests. Most cookies are "session cookies," meaning that they are automatically deleted from User hard drive at the end of a session. User are always free to decline our cookies if User browser permits, although in that case User may not be able to use certain features on the Site and User may be required to re-enter User password more frequently during a session. Chola does not control the use of cookies by third parties on certain pages of the Portal.
(c) User activities or postings on the Portal may be collected into a file specific to User.
(d) If User registers on the Portal via another website or use a website providing a service for Chola or a website that helps facilitate User activity on the Portal, that site may provide personal information about User and User transactions back to us.

C.3. Chola's use of User Information

(a) Chola shall use User's personal information in the file maintained about User and other information obtained from User's activities on the Portal to troubleshoot problems; help customer in providing required details of his loan; collect fees owed, if any; measure consumer interest in the services provided, inform User about online and offline offers, products, services and updates according to User interests; to analyze site usage, improve Content; administrative notices and communications relevant to User's use of the Portal; detect and protect against error, fraud and other criminal activity; enforce the User Agreement; and as otherwise described to User at the time of collection.

C.4. Disclosure of User Information

The following are examples of some categories of persons to whom we would share User information with from time-to-time.

1. Advertisements

Chola may aggregate personally identifiable information across all user accounts and disclose such information in a non-personally identifiable manner to advertisers and other third parties for other marketing and promotional purposes.

2. Internal service providers

Internal service providers are used to facilitate or outsource one or more aspects of the business, product and service operations provided to the User on the Portal and therefore some User Information may be provided directly to these third parties. These internal service providers' are subject to confidentiality agreements with Chola that prohibit their use of the said information for any other purpose except to facilitate the specific outsourced Portal related operation.

3. Other corporate entities.

Chola shall share Content and User Information with its affiliates, subsidiaries, their joint ventures and acquiring/merging entities that are committed to serving User online trading needs throughout the world. These entities shall follow privacy practices no less protective than this Privacy Policy.

4. Legal requests

Chola reserves the right at all times to disclose any/all information as necessary to satisfy any law, regulation, legal process to help protect User and the community from bad actors.

5. Security and grievance redressal

(a) When User accesses User account information, Chola offers the use of a secure server in compliance with Information Technology Act, 2000 and rules made there under. The entity collecting and retaining User Information shall be Chola.
(b) User understands third parties may unlawfully intercept private communications or misuse User Information collected from the Portal. Therefore, although standard industry practices are used to protect User privacy, Chola does not guarantee that User's personal information or private communications will always remain secure and private.
(c) The name and contact details of the Grievance Officer are published on the Portal.

D.1 PROPRIETARY RIGHTS

(a) Content, text, site design, graphics, logos, images, audio, icons interfaces and the selection, assembly and arrangements thereof displayed on or through the Portal is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of the Portal or the collective work, and/or copying or reproducing the sites or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of Chola.
(b) Permission is granted to view or download a copy and print portions of material for the Customer’s sole purpose only.
(c) User warrants that User has the right to grant, to Chola an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute Content and to prepare derivative works of, or incorporate into other works, said Content, and to grant and authorize sublicenses of the foregoing and all rights necessary to prohibit any subsequent aggregation or exploitation of the Content on the Portal by any party for any purpose.

D.2 INDEMNITY

User hereby agrees to indemnify the Portal its parent, subsidiaries, affiliates, directors, officers, employees, agents suppliers, service partners, and consultants, from all claims, demands and damages, whether actual or consequential, of every kind arising out of or relating to any listings, transactions, or any other use of the Portal, User's breach of User Agreement or violation of any law or the rights of a third party.

D.3 DISCLAIMER OF WARRANTIES

(a) Chola provides the Portal and related services on an “as is” and “as available” basis, without any warranty or condition, express, implied or statutory and expressly disclaims any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement imputed by the laws of any jurisdiction.
(b) The Portal and/or its respective suppliers, affiliates, associates, representatives make no representations about the suitability, reliability, availability, timeliness and accuracy of the information for any purpose. User expressly agrees that use of the Portal is completely at User's risk.

D.4 LIMITATION OF LIABILITY

(a) In no event shall Chola or its suppliers, affiliates and service providers be liable for any direct, indirect, incidental, special, consequential, punitive, exemplary or any damages whatsoever, including damages, delay, misuse of data or intangible losses arising out of or in connection with the Portal, its services or the User Agreement, whether based on contract, tort or otherwise.
(b) Chola makes no representations or warranties about the accuracy, reliability, completeness, and/or timeliness of any Content provided on or through the use of the Portal or that the operation of the Portal will be error free and/or uninterrupted. Consequently, Chola assumes no liability whatsoever for any monetary or other damage suffered by User on account of delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the Portal.
(c) Chola does not endorse and shall not be responsible for the delivery/performance of, any goods or services advertised or purchased through the Portal.

D.5 DISPUTE RESOLUTION

Any dispute or difference arising in connection with the use of the Portal or the interpretation of any provision of the User Agreement, shall be referred to a sole arbitrator who shall be an independent and neutral third party nominated by Chola. The venue of arbitration shall be Chola's registered office at Chennai. The Arbitration & Conciliation Act, 1996 and all statutory amendments thereof, as may be applicable in India shall govern the arbitration proceedings. Subject to the arbitration clause, the parties agree to submit to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu (India) only.

D.6. Governing Law

The User Agreement shall be governed and construed in accordance with the Laws of India.

D.7 TERMINATION

Any permission granted herein shall terminate automatically if User breaches any of the provisions of the User Agreement. Chola reserves the right to terminate or restrict User access to any portion or all of the Portal, without notice, without limitation, if Chola believes that the User has acted inconsistently with the letter or spirit of the User Agreement.
